1. Acceptance of Terms

By accessing or using Extraly ("Service"), available at extraly.ai, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree with any part of these Terms, you must discontinue use of the Service immediately.

2. About the Service

Extraly is an AI-powered document processing platform operated by FOP Melnyk Y. S., a sole proprietorship registered in Ukraine. The Service enables users to upload documents — including but not limited to bank statements, invoices, receipts, and financial records — for automated extraction, structuring, and analysis of data using artificial intelligence and machine learning models.

Extraly provides both a web-based dashboard and a REST API for programmatic integration. While we strive for high accuracy, AI-generated outputs should be reviewed by the user before being relied upon for critical decisions.

3. Subscription Plans and Payment

Extraly offers tiered subscription plans that determine the volume of documents you can process, available features, and support levels. Plan details and current pricing are displayed on our website and may be updated from time to time with reasonable notice.

Payments are processed through WayForPay, a licensed payment service provider. By subscribing to a paid plan, you authorize recurring charges at the selected billing interval until you cancel. All prices are quoted in the currency displayed at checkout and are exclusive of applicable taxes unless stated otherwise.

You are responsible for keeping your payment information current. If a payment fails, we may suspend access to paid features until the outstanding balance is resolved.

4. Refund Policy

If you are unsatisfied with the Service, you may request a refund within 7 days of the start of a billing cycle. Refunds are calculated on a pro-rata basis, reflecting the unused portion of the current billing period. To request a refund, contact us at [email protected] with your account email and reason for cancellation.

Refund requests submitted after the 7-day window will be evaluated on a case-by-case basis and are not guaranteed. Free-tier usage and any bonus credits are non-refundable.

5. User Accounts

To use the Service, you must create an account with a valid email address and a secure password. You are solely responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

Each account is intended for use by a single individual or organization. Sharing account credentials with third parties or creating multiple free accounts to circumvent usage limits is prohibited.

6. Usage Restrictions

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable local, national, or international law.
  • Upload documents that contain malware, executable code, or content designed to disrupt the Service.
  • Attempt to reverse-engineer, decompile, or extract source code from any part of the platform.
  • Resell, sublicense, or redistribute access to the Service without prior written consent from Extraly.
  • Abuse API rate limits or engage in automated scraping beyond the scope of your subscription.
  • Upload documents you do not have the legal right to process or that violate the privacy rights of third parties.

Violation of these restrictions may result in immediate suspension or termination of your account without refund.

7. Data Processing

Documents you upload are processed by our AI systems solely to deliver the extraction and analysis services you have requested. We do not use your documents to train, improve, or fine-tune our machine learning models. Your uploaded files and extracted data are stored in encrypted form and are automatically deleted according to the retention period configured in your account settings.

8. Intellectual Property Rights

All rights, title, and interest in and to the Service — including its software, design, trademarks, documentation, and underlying technology — remain the exclusive property of Extraly (FOP Melnyk Y. S.). These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with your subscription.

You retain full ownership of the documents you upload and the data extracted from them. By uploading content, you grant Extraly a limited license to process that content solely for the purpose of providing the Service.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Extraly and its owner, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to loss of revenue, data, or business opportunities.

Our total aggregate liability for any claim related to the Service shall not exceed the amount you paid to Extraly during the twelve (12) months preceding the event giving rise to the claim. The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.

10. Termination

You may terminate your account at any time through your account settings or by contacting [email protected]. Upon termination, your access to the Service will cease and your stored documents will be deleted in accordance with our retention schedule.

We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required by law. We will make reasonable efforts to notify you prior to any such action, except where doing so would compromise security or legal proceedings.

11. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice within the Service at least 14 days before the revised Terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Ukraine, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts located in Ukraine. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
